SpaceX completes $60 billion acquisition of Cursor

SpaceX officially finalized its $60 billion all-stock acquisition of Anysphere, the startup behind the Cursor coding assistant, on August 14, 2026. This transaction represents the largest acquisition of a venture-backed startup in history. Under the terms of the agreement, which was first announced on June 16, Cursor shareholders received 389,289,254 shares of SpaceX Class A common stock. This represents a 3.4% dilution based on SpaceX's IPO valuation. Had the deal fallen through, SpaceX would have owed Cursor a massive termination package consisting of $1.5 billion in cash and $8.5 billion in computing resources.

The acquisition folds Cursor into the SpaceXAI division, where its workforce will integrate with existing Grok teams. While the Cursor brand may eventually be phased out, the coding assistant will retain its name for the time being. Notably, Grok 4.5 has already been integrated as the default model within Cursor. Future tools, such as the autonomous agent code-named "Sand," are expected to launch under the "Grok Bot" moniker. However, this transition introduces a critical change for developers: Cursor's default Privacy Mode now routes session data directly into Grok's model training pipelines. Practitioners working with proprietary codebases must immediately audit their settings to prevent intellectual property exposure.

Despite raising $900 million in a Series C round in June 2025 and another $2.3 billion later that year, Cursor was burning cash rapidly. The acquisition provides a clean exit for the startup, which was founded in 2022 by Michael Truell and his MIT classmates. Cursor had achieved an unprecedented trajectory, scaling from $1 million to $2 billion in annual recurring revenue in just 28 months. It currently boasts over 7 million monthly active users, 1 million daily active users, and 50,000 paying teams, with deployments at major Fortune 500 companies like Nvidia, Uber, Adobe, Salesforce, and PwC. Within the $12.8 billion AI coding market of 2026, Cursor leads in revenue growth velocity, while GitHub Copilot leads in user count and Claude Code leads in user satisfaction.
